Welcome to Dunwrk, a modern, user-centric SaaS platform for task and project management. Dunwrk helps teams plan work, assign owners, set due dates, track progress, and deliver results—bringing clarity and accountability to every workflow.

For organizations and managers, Dunwrk offers tools to structure projects, allocate resources, automate routine steps, and monitor performance with real-time dashboards and reports.

Team members and collaborators benefit from focused workspaces to capture tasks, discuss details, share files, and stay on top of priorities through notifications and reminders.

Role-based access, workspace permissions, and audit trails support secure, compliant, and transparent collaboration.

By accessing or using the Dunwrk platform—our website, web/mobile apps, APIs, and related services (the “Platform”)—you agree to be bound by these Terms and Conditions (the “Terms”).

This is a legally binding contract between you (individually or on behalf of an entity) and Dunwrk.

If you do not agree, do not use the Platform.

Your continued use signifies that you have read, understood, and agree to comply with these Terms in full.

1. Registration and Eligibility

Account Creation

Individuals and organizations must create an account/workspace with accurate and truthful information.

Required information may include:

• Contact details
• Legal name
• Billing details
• Identity or business verification documents (e.g., PAN, GST, CIN)

Representations and Warranties

By registering, you represent and warrant that:

• You are at least 18 years old or the legal age of majority.
• You have the legal capacity to contract.
• If acting on behalf of an entity, you are authorized to bind it.
• Information provided is accurate and current.
• You will comply with all applicable laws and regulations.

Workspace Admins and Authorized Users

Workspace owners/admins may invite Authorized Users (employees or contractors) for internal business purposes.

Requirements:

• Each user must have unique login credentials.
• Credential sharing is prohibited.

Workspace owners are responsible for all activities occurring in their workspace.

Verification & Security

Dunwrk may require:

• KYC or business verification
• Security measures such as MFA or SSO

Failure to comply may result in restricted access or suspension.

Accuracy & Misrepresentation

Providing false information may lead to:

• Suspension or termination
• Feature restrictions
• Legal action where applicable

Sanctions & Export Controls

You confirm that you and your organization are not subject to sanctions or restricted under applicable export or trade laws.

2. Prohibited Activities

You agree not to:

• Retrieve Platform data to build external databases without permission.
• Collect user data for unsolicited marketing.
• Create accounts using automated tools or false identities.
• Advertise external services unrelated to internal workflow management.
• Circumvent security features such as MFA, SSO, or rate limits.
• Use bots, scrapers, or automated tools outside approved APIs.
• Distribute malware, ransomware, or harmful code.
• Harass, threaten, or intimidate other users.
• Impersonate individuals or organizations.
• Reverse engineer or decompile the Platform software.
• Circumvent billing systems or subscription limits.
• Overload infrastructure through automated queries or stress testing.

Violation may result in suspension or permanent termination.

3. Subscription

Subscribers may:

• Create and manage projects
• Assign tasks
• Track deliverables and workflows

You remain responsible for:

• The accuracy and legality of project information
• Maintaining task updates within the Platform

Dunwrk acts solely as a workflow management SaaS system.

Dunwrk does not mediate disputes, guarantee outcomes, or verify task completion.

Audit logs maintained within the Platform serve as the authoritative record of activity.

4. Payment Terms and Financial Transactions

Separate Contract Controls

Billing, pricing, refunds, and payment methods are governed by:

• Order forms
• Statements of Work (SOW)
• Subscription agreements

Payments are generally non-refundable unless required by law.

Chargebacks

If a payment dispute or chargeback occurs:

• Platform access may be suspended
• Fraudulent disputes may result in termination and cost recovery

Records

Invoices and receipts generated through the Platform constitute official billing records.

5. Content Rights and Ownership

User Content

Content you upload remains your property.

You are responsible for ensuring you have all necessary rights and permissions.

Dunwrk Materials

Dunwrk retains all rights to:

• Platform software
• UI design
• Databases
• Trademarks
• Proprietary systems

No ownership transfers to users.

License to Dunwrk

You grant Dunwrk a non-exclusive worldwide license to:

• Host
• Process
• Display
• Transmit your content

This is solely for operating and maintaining the Platform.

Aggregated Analytics

We may use aggregated or anonymized data to improve service performance.

6. Impersonation and Fraudulent Activities

The following are strictly prohibited:

• Impersonation
• Fraud
• Identity misrepresentation
• Manipulating platform data or records

Violations may lead to:

• Immediate suspension
• Permanent bans
• Civil or criminal action

7. User-Generated Contributions

Users may submit:

• Text
• Files
• Images
• Comments
• Attachments
• Code snippets

You warrant that your contributions:

• Do not infringe intellectual property rights
• Are lawful and accurate
• Do not contain malware
• Do not violate privacy laws

Dunwrk may remove content violating these Terms.

8. Termination

By Dunwrk

We may suspend or terminate accounts if:

• Terms are violated
• Fraud or illegal activity occurs
• Fees remain unpaid
• Platform integrity is threatened

By User

Users may terminate accounts provided:

• All obligations are fulfilled
• No disputes remain
• Outstanding payments are settled

9. Intellectual Property Rights

You retain rights in your uploaded content.

Dunwrk retains rights in all Platform materials and technology.

Users receive a limited license to access the Platform for lawful business purposes.

10. Responsibility for Content and Links

Users are responsible for the content they provide.

Dunwrk:

• Does not guarantee accuracy of third-party content
• May remove unlawful or inappropriate content

Third-party integrations or services are governed by their own terms and privacy policies.

11. Indemnity

You agree to indemnify and hold Dunwrk harmless from claims arising from:

• Your use of the Platform
• Violation of these Terms
• Infringement of third-party rights

This obligation survives termination.

12. Governing Law and Disputes

These Terms are governed by the laws of India.

Courts in New Delhi, India shall have exclusive jurisdiction.

Disputes unresolved within 30 days may proceed to arbitration under the Arbitration and Conciliation Act, 1996.

The seat of arbitration shall be New Delhi, India.

13. General

Waiver

Failure to enforce provisions does not waive rights.

Severability

If any provision is unenforceable, the remaining Terms remain valid.

Force Majeure

Neither party is liable for delays due to events beyond reasonable control including:

• Natural disasters
• Government actions
• Cyberattacks
• Cloud provider outages

Assignment

Dunwrk may assign these Terms in connection with mergers or acquisitions.

Electronic Records

Electronic agreements and click-wrap confirmations constitute valid consent under the Information Technology Act, 2000.

Service Availability

The Platform is provided on a commercially reasonable efforts basis.

We do not guarantee uninterrupted or error-free operation unless stated in a separate SLA.

Updates to Terms

Dunwrk may update these Terms periodically.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.

14. Entire Agreement

These Terms, together with:

• Privacy Policy
• Cookie Policy
• Order Forms / SOW
• SLA or DPA (if applicable)

constitute the entire agreement governing the Platform.
